4.4 Monitoring and Investigation

4.4.1 We reserve the right to monitor activity on the Platform and investigate any suspected misuse, including fraud or click manipulation.

4.4.2 You agree to provide reasonable assistance in connection with any such investigation.

4.5 Changes to the Platform

4.5.1 We may, at any time and without prior notice:

(a) modify, suspend, or discontinue any part of the Platform;
(b) restrict or limit access to any features or services.

4.5.2 We shall not be liable for any changes, interruptions, or discontinuation of the Platform.

4.6 Suspension and Termination

10.4.2 If you access the Platform from outside the United Kingdom, you are responsible for ensuring that your use complies with applicable local laws.

11. Introductory Offer – Free Trial

11. Service Fees and Commencement of Charges

Mercury Infotech Limited shall charge business users a fee per month per business location for access to its services.

Charges shall commence on 1 August 2026, regardless of the date of registration or activation of the business listing, unless otherwise agreed in writing.

From 1 August 2026, fees will be billed on a recurring monthly basis and shall continue unless and until the service is cancelled in accordance with Mercury Infotech’s terms.

Mercury Infotech reserves the right to amend its pricing upon providing reasonable notice to users.

11. Introductory Offer – Free Trial

11.1 Availability of Offer

11.1.1 Mercury Infotech Limited may, at its sole discretion, offer new business users a limited introductory period of up to three (3) months free of charge for selected services (the “Free Trial Period”).

11.1.2 The availability, duration, and scope of the Free Trial Period may vary and are not guaranteed.

11.2 Commencement of Free Trial

11.2.1 The Free Trial Period shall commence from the date on which the relevant business listing or service is activated on the Platform.

11.3 Scope of Free Trial

11.3.1 During the Free Trial Period, eligible users will have access to the agreed services without payment of subscription/direct debit or listing fees.

11.3.2 The Free Trial applies only to the specific services identified at the time of activation and does not extend to any additional features, upgrades, or third-party services unless expressly stated.

11.4 Charges Following Free Trial

11.4.1 Upon expiry of the Free Trial Period, standard charges shall automatically apply unless otherwise agreed in writing.

11.4.2 It is your responsibility to be aware of the expiry date of the Free Trial Period and any applicable charges thereafter.

11.4.3 Continued use of the services after the Free Trial Period constitutes acceptance of applicable fees.

11.5 Eligibility and Restrictions

11.5.1 The Free Trial is available to new customers only.

11.5.2 We reserve the right to determine eligibility for the Free Trial at our sole discretion.

11.5.3 The Free Trial may not be:
(a) transferred, sold, or assigned;
(b) combined with other promotions or discounts;
(c) claimed multiple times by the same individual, business, or related entity.

11.5.4 We reserve the right to withdraw or deny access to the Free Trial where we reasonably believe it is being misused or abused.

11.6 Modification and Withdrawal

11.6.1 We reserve the right to modify, suspend, or withdraw the Free Trial offer at any time without prior notice.

11.6.2 Such changes shall not affect any Free Trial Period already activated, unless required for legal, operational, or security reasons.

11.7 No Warranty or Guarantee

11.7.1 The Free Trial is provided on a discretionary and “as available” basis.

11.7.2 We make no guarantees regarding:
(a) continued availability of the Free Trial;
(b) performance or outcomes of services;
(c) conversion into paid services.

11.8 Liability

11.8.1 To the fullest extent permitted by law, we shall not be liable for any loss, damage, or expectation arising from:
(a) availability or unavailability of the Free Trial;
(b) termination or modification of the Free Trial;
(c) reliance on or participation in the Free Trial.


12. Payment and Billing

12.1 Charges and Fees

12.1.1 Certain features or services may be subject to fees, including listings, promotions, or subscriptions.

12.1.2 All applicable fees will be communicated at the time of purchase or activation.

12.2 Billing and Payment Terms

12.2.1 Unless otherwise stated, all fees are payable in advance.

12.2.2 Subscription services may be billed on a recurring basis (monthly or annually).

12.2.3 You authorise us to charge applicable fees using your selected payment method.

12.3 Payment Due Date

12.3.1 Payments must be made by the due date.

12.3.2 Failure to pay may result in suspension or restriction of services.

12.4 Failed Payments

12.4.1 If a payment fails:
(a) we may retry the payment;
(b) services may be suspended;
(c) services may be terminated if payment remains outstanding.

12.5 Suspension for Non-Payment

12.5.1 We may suspend or remove services due to overdue payment.

12.5.2 Suspension does not remove your obligation to pay outstanding fees.

12.6 Refunds

12.6.1 Fees are non-refundable unless stated otherwise.

12.6.2 No refunds for partial use, unused periods, or termination due to breach.

12.7 Price Changes

12.7.1 We may change pricing at any time.

12.7.2 Changes apply to future billing periods unless otherwise stated.

12.8 Taxes

12.8.1 Fees are exclusive of taxes unless stated.

12.8.2 You are responsible for applicable taxes.

12.9 Disputes

12.9.1 Billing disputes must be reported within a reasonable time.

12.9.2 We will review and decide billing disputes at our discretion.

13. Refunds and Cancellations

13.3.2 Cancellation will take effect at the end of the current billing period unless otherwise stated.

13.3.3 No refunds or credits will be issued for any unused portion of the service period.

13.4 Free Trial Conversion

13.4.1 Where a Free Trial Period applies, charges will begin automatically upon expiry of the trial unless cancelled before the end of the trial period.

13.4.2 Failure to cancel before the end of the Free Trial Period will result in full charges being applied for the applicable billing period.

13.5 Exceptional Circumstances

13.5.1 We may, at our sole discretion, consider refund requests in exceptional circumstances.

13.5.2 Any such decision shall be made on a case-by-case basis and shall not create any obligation to provide refunds in similar situations.


14. Paid Listings, Advertising and Ranking Transparency

14.1 Nature of Listings

14.1.1 The Chai Pe Charcha Websites operate as a directory platform displaying both free and paid business listings.

14.1.2 Listings on the Platform may include:
(a) standard listings submitted by businesses;
(b) enhanced or featured listings that are subject to payment;
(c) promotional placements or advertisements.

14.2 Identification of Paid Content

14.2.1 Paid, featured, or promoted listings may be identified through labels such as “Featured”, “Sponsored”, “Promoted”, or similar indicators where applicable.

14.2.2 You acknowledge that some listings displayed on the Platform may be paid placements.

14.3 Ranking and Ordering of Listings
